completed the acquisition of Tarsin Inc., a Nevada corporation, from
Tarsin (Europe) Ltd., a UK company, in a combination of cash and stock.
Tarsin Inc. is a wholly owned subsidiary of the Company. Tarsin is
located in Lake Tahoe, Nevada, which will become the new headquarters
for the Company.
